If you are entering into these Terms on behalf of a company, partnership firm, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms. You must be at least 18 years of age and legally competent to contract under the Indian Contract Act, 1872 to access the Site or use the Services. If you are using the Services on behalf of a registered business, you represent that your business is duly incorporated or formed under applicable Indian laws.

GRCNow provides India-first digital security and compliance automation solutions designed specifically for Micro, Small, and Medium Enterprises (MSMEs) and corporate ecosystems navigating statutory frameworks, principally the Digital Personal Data Protection Act, 2023 ("DPDPA").

• Free Business Risk Calculator: An educational, browser-evaluated tool providing an illustrative statutory penalty exposure range based on self-reported operational attributes (sector, headcount, and data volume).
• Paid Compliance Reports & Roadmaps: Comprehensive gap-analysis deliverables and structured remediation roadmaps generated based on user-submitted data.
• Compliance Subscriptions: Ongoing access to compliance dashboards, audit-readiness tracking, and policy template libraries.
• Professional Partner Ecosystem: Introductions to practising Chartered Accountants (CAs) and empannelled law firm partners for specialized documentation, compliance filings, and formal legal sign-offs.

3. Non-Legal Advice Disclaimer

Users requiring legal representation, tailored statutory opinions, or formal audits should engage certified practitioners or consult our empannelled professional partners under separate professional engagement terms.

4. User Responsibilities & Acceptable Use

When using our Site and Services, you agree that you will not:

• Provide false, misleading, or deceptive information in calculator assessments, onboarding forms, or report requests;
• Violate any applicable central, state, or municipal law, regulation, or order of the Government of India;
• Attempt to decompile, reverse engineer, disassemble, or derive source code from any software or algorithm powering the Services;
• Probe, scan, or test the vulnerability of the Site or our underlying edge infrastructure, or breach any security or authentication measures;
• Use any automated spider, bot, scraper, or crawler to extract content, data, or proprietary schemas without our explicit written permission;
• Transmit any viruses, worms, malware, or malicious code through our contact forms or submission interfaces.

5. Subscriptions, Invoicing & Payments

The fees, billing cadence, and deliverable specifications for each paid tier or one-time report are detailed on our Pricing page. All prices are in Indian Rupees (INR) and are exclusive or inclusive of Goods and Services Tax (GST) as specified during checkout.

Payment processing is conducted through authorized, PCI-DSS compliant third-party payment gateways. By submitting payment details, you authorize our processing partner to charge the agreed-upon amounts. Refund and cancellation provisions are governed strictly by our Refund & Cancellation Policy, and digital fulfillment standards are outlined in our Delivery & Shipping Policy.

6. Intellectual Property Rights

All proprietary algorithms, UI designs, codebases, graphics, compliance checklists, trademarks, domain names, and content hosted on the Site are the exclusive intellectual property of GRCNow Solutions Private Limitedor its licensors, protected under the Indian Copyright Act, 1957, and Trade Marks Act, 1999.

Upon purchasing a paid report or subscribing, you are granted a revocable, non-exclusive, non-transferable license to use the generated report internally within your organization for your own compliance objectives. You may not resell, white-label, or distribute our reports to third parties without prior written consent.

7. Third-Party Professional Partners

GRCNow collaborates with independent Chartered Accountants, legal professionals, and audit specialists. Any subsequent direct engagement with a professional partner constitutes an independent, bilateral professional relationship between your organization and that professional firm. GRCNow is not a party to such professional contracts and bears no legal liability for partner opinions, filings, or advisory outcomes.

8. Limitation of Liability

To the maximum extent permitted under applicable Indian law, in no event shall GRCNow Solutions Private Limited, its directors, officers, employees, or affiliates be liable for any indirect, consequential, punitive, incidental, or special damages, including loss of business profits, data corruption, regulatory fines imposed by administrative tribunals, or business interruption.

The total cumulative aggregate liability of GRCNow arising out of or related to these Terms or the Services, whether in contract, tort (including negligence), or statutory liability, shall not exceed the actual fees paid by you to GRCNow in the twelve (12) months preceding the event giving rise to the claim.

10. Governing Law & Dispute Resolution

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts situated in Ghaziabad, Uttar Pradesh, Bharat.
